IMPORTANT NOTICE: In these Terms of Service (“Terms”), “we”, “us”, “our”, or “Fugo” refer to Fugo Ltd, a company registered in England and Wales. “You” and “your” refer to the person or entity that creates an account and accepts these Terms. If you are registering on behalf of an organisation, you agree to these Terms on behalf of that organisation and represent that you have authority to bind it.
These Terms become legally binding when you access or use the Services.
If you do not agree to these Terms, you must not use the Services.
1. About Fugo and Use of Services
1.1 The Services, including https://www.fugo.ai, are owned and operated by Fugo Ltd, a company registered in England and Wales with its registered office at:

1.2 The Services are intended primarily for commercial use.
1.3 Fugo provides web-based digital signage services (the “Services”). You may only use the Services in accordance with these Terms and applicable laws.
1.4 You must not:
- use the Services for any unlawful or unauthorised purpose
- interfere with or disrupt the Services or connected networks
- attempt to gain unauthorised access to systems or data
1.5 We may modify, suspend, or discontinue any part of the Services at any time. Where reasonably possible, we will provide notice of material changes.
2. Agreement Structure
2.1 These Terms form part of the agreement between you and Fugo (the “Agreement”), together with:
2.2 The Data Processing Agreement (DPA) is available at https://trust.fugo.ai and is incorporated into this Agreement by reference where applicable.
2.3 In the event of any conflict between documents:
- any executed Order Form, master services agreement, or other written agreement between you and Fugo shall take precedence over these Terms
- the DPA shall prevail in respect of any matters relating to the processing of personal data
- the Service Level Agreement (SLA) shall prevail in respect of service availability and service credits
2.4 If you have entered into a separate written agreement with Fugo governing the Services, that agreement will apply to your use of the Services and will prevail over these Terms to the extent of any inconsistency.
3. Accounts and Registration
3.1 To access the Services, you must register for an account.
3.2 You agree to:
- provide accurate and complete information
- keep your login credentials secure
- promptly notify us of any unauthorised access
3.3 You are responsible for all activity under your account.
3.4 We may suspend or terminate accounts where we reasonably believe these Terms have been breached.
4. Formation and Termination of Contract
4.1 The Services are not intended for use by individuals under the age of 16. You are responsible for ensuring compliance with applicable data protection laws.
4.2 Your contract begins when your account is confirmed and continues for the applicable subscription period.
4.3 Subscriptions renew automatically unless terminated in accordance with these Terms.
4.4 You may terminate your subscription at any time, effective at the end of the current billing period.
4.5 We may suspend or terminate your access:
- if you breach these Terms
- where required by law
- where your use presents a security or legal risk
4.6 Upon termination:
- access to the Services will cease
- Customer Content may be deleted in accordance with applicable policies
5. Access to the Service and Support
5.1 We grant you a non-exclusive, non-transferable right to access and use the Services during your subscription.
5.2 You are responsible for all use of the Services by your users.
5.3 The Services allow pairing of screens. We may impose reasonable limits where necessary.
5.4 We use commercially reasonable efforts to provide the Services. Service availability commitments are set out in the Service Level Agreement (SLA).
5.5 Availability may be affected by:
- third-party services
- infrastructure dependencies
- factors outside our control
5.6 We implement appropriate security measures but cannot guarantee absolute security.
5.7 We may update or modify the Services at any time.
5.8 Support is provided during business hours:
8:00 AM – 6:00 PM (London time), excluding UK public holidays
Support channels include:
Enterprise customers may also receive:
- phone support
- onboarding and training sessions
5.9 Support excludes issues caused by:
- misuse of the Services
- third-party systems or infrastructure
- unsupported configurations
6. Content and Conduct Rules and Obligations
6.1 You retain ownership of all Customer Content.
6.2 You are solely responsible for all Customer Content.
6.3 You grant Fugo a non-exclusive, worldwide, royalty-free license to process and display Customer Content as necessary to provide the Services.
6.4 You acknowledge that Fugo does not control Customer Content and does not guarantee its accuracy or quality.
6.5 You must not upload or distribute content that is unlawful, harmful, infringing, or otherwise inappropriate.
6.6 You must not:
- distribute malware or harmful code
- engage in abusive, fraudulent, or deceptive conduct
- infringe intellectual property or privacy rights
- misuse or exploit the Services
6.7 Fugo may remove content or suspend accounts where these Terms are violated.
6.8 You indemnify Fugo against claims arising from your Customer Content or your use of the Services.
7. Fees and Payment
7.1 Fees are based on subscription and usage.
7.2 Fees are billed in advance and are non-refundable unless otherwise agreed.
7.3 Additional usage may incur pro-rata charges.
7.4 We may suspend Services for non-payment.
7.5 Fees may be updated with notice, effective from the next billing period.
7.6 All fees are exclusive of applicable taxes.
8. Free Trial
8.1 We may offer a free trial for evaluation purposes.
8.2 Free trials:
- are time-limited
- may include restricted functionality
8.3 At the end of the trial:
- you must subscribe to continue using the Services
- or access will cease
8.4 We may modify or withdraw free trials at any time.
9. Disclaimer and Limitation of Liability
9.1 The Services are provided “as is” and “as available”.
9.2 Except as expressly set out in the Service Level Agreement (SLA), we do not guarantee uninterrupted or error-free operation.
9.3 To the fullest extent permitted by law, we disclaim all warranties.
9.4 We are not liable for:
- indirect or consequential losses
- loss of profits, revenue, or data
9.5 Total liability is limited to the greater of:
- fees paid in the previous 12 months
- £100
10. Intellectual Property Rights
10.1 Fugo and its licensors retain all rights in the Services.
10.2 You may not copy, modify, or exploit the Services without permission.
11. Data Protection
11.1 Both parties agree to comply with applicable data protection laws, including UK GDPR and EU GDPR.
11.2 Where Fugo processes personal data on your behalf, the Data Processing Agreement (DPA) applies.
11.3 The DPA governs:
- processing obligations
- sub-processors
- audit rights
- international transfers
12. Security
12.1 Fugo maintains appropriate technical and organisational measures, including:
- encryption in transit and at rest
- access controls and authentication
- vulnerability management

13. Data Retention and Backups
13.1 We perform regular backups of system data.
13.2 Backup data is retained for up to 60 days for recovery purposes.
13.3 Customers are responsible for maintaining their own copies of critical data.
14. Publicity and Marketing
14.1 With your prior written approval, we may refer to you as a customer.
14.2 With your prior written approval, we may publish case studies.
15. Confidentiality
15.1 Each party agrees to keep confidential any non-public information disclosed by the other.
15.2 Confidential information may only be used to perform obligations under these Terms.
16. Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control.
17. General
17.1 We may assign these Terms without restriction.
17.2 You may not assign without our consent.
17.3 Failure to enforce rights is not a waiver.
17.4 If any provision is invalid, the remainder remains enforceable.
17.5 These Terms, together with the Privacy Policy, SLA, and DPA, form the entire agreement unless superseded by a written agreement.
17.6 These Terms are governed by the laws of England and Wales.
